Anh Musk lại phù phép một lần nữa như phù thủy: cho xAI mua lại X.
xAI là một công ty startup định giá cao trên trời (vừa raise 6 tỷ, đẩy định giá lên 40 tỷ)
Anh Musk mặc dù đã vừa phù phép 1 pha raise funds secondary để kéo định giá X từ 10 tỷ về lại trên 40 tỷ (với lượng cash rót vào thực tế có trời mới biết là bao nhiêu, chủ yếu là để kéo định giá lên), nhưng lại không thể kéo giá X lên cao trước kỳ hạn trả nợ sắp tới để raise cục tiền lớn hơn với định giá như vậy (theo một số ước tính là tổng 5 tỷ, trả cash, nhưng nếu chỉ cần trả junior debt thì chỉ dưới 2 tỷ thôi).
Thế là anh Musk quyết định đầu tiên là làm secondary deal để đẩy định giá của X lên 40 tỷ (gồm cả nợ), sau đó để con gà đẻ trứng vàng mới của mình là xAI đi hoán đổi cổ phần với giá trên trời với X để mua lại X với giá 33 tỷ (45 tỷ valuation vừa đẩy lên trừ nợ).
Vì sao phải đẩy trước rồi mua? Vì anh Musk là sở hữu chính của X, nếu để định giá 10 tỷ rồi bị mua lại thì anh Musk tổn thất. Anh khôn nên anh mới là tỷ phú.
Vì đây là các private deal nên anh rủ chiến hữu làm một cái deal giá trị vài trăm triệu hay vài tỷ rồi kéo valuation lên không khó. Còn xAI mua lại X bằng hoán đổi cổ phần thì anh tác động để xAI lấy giá cao vừa kéo lên là được. Con cái nhà anh sáp nhập nhau, anh tác động được.
Mục tiêu của pha trộn xAI với X này là tạo ra 1 cái sản phẩm thần kỳ mới mà không ai biết phải định giá ra sao, và chắc chắn trong một vài tháng tới anh sẽ mang cái bánh tráng trộn mới đó đi raise funds với một mức định giá trên trời khác, rồi lấy tiền trả nợ (có vài tỷ nợ của X sắp đáo hạn).
Sau đó anh lại tiếp tục chơi game.
Tóm lại, nếu anh Trump chơi anh em tầm quốc gia trong lòng bàn tay, thì anh Musk cũng quay anh em nhà đầu tư quốc tế trong cái máy trộn của mình.
Vấn đề là các cổ đông nắm cổ phần X đã đồng ý chưa, và nhận được gì, bao gồm một vài quỹ đầu tư và anh em Ả Rập. Và các funder của xAI sẽ phản ứng ra sao. Khả năng cao là anh em X chấp nhận vì đây là một cách boost giá X lên. Chứ để X một mình sẽ rất khó đẩy giá cho anh em thoát hàng. Còn anh em đang cầm cổ phần xAI có ý kiến gì không thì phải để coi.
Nhưng không thể phủ nhận pha trộn xAI với X này của anh Musk là hấp dẫn, và có câu chuyện để thuyết phục tất cả các bên.
